Terms of Service
Effective: October 24, 2025The following terms and conditions (collectively, the "Terms") constitute a legally binding agreement between you and KokoroLab, LLC ("KokoroLab," "we," "our," or "us") governing your access to and use of our website, platform, and all first-party goods and services (collectively, the "Services"). By creating an account or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Services.
1. Definitions
- 1.1 Contracting Entity. Your legal and contractual relationship is with KokoroLab, LLC, a limited liability company organized and existing under the laws of the State of Delaware, U.S.A. These Terms are governed by Delaware law, without regard to its conflict-of-law provisions, except where preempted by applicable U.S. federal law.
- 1.2 GDPR. Refers to Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016.
- 1.3 Ownership. You retain all rights and ownership to the content you upload or generate (hereafter "Content"). KokoroLab does not claim ownership over your Content unless a separate written agreement explicitly transfers such ownership.
- 1.4 Content. "Content" refers to images, prompts, tags, text, stories, and other creative material generated or uploaded by you through the Services. Content is wholly yours and is not representative of KokoroLab.
- 1.5 Subscription-Based Services. Some Services require recurring monthly payments to access. These Services are subject to the Subscription and Billing terms in Section 4.
- 1.6 Authorized Payment Processor. KokoroLab utilizes third-party payment processors for subscription billing.
- 1.7 Updates to Terms. We may amend these Terms at any time. Continued use of the Services after such updates constitutes acceptance of the revised Terms.
- 1.8 Licensing. The Services are licensed, not sold, to you. You receive access only for the duration and bounds of your subscription and compliance with these Terms.
- 1.9 Business Days. KokoroLab observes standard U.S. business days (Monday through Friday, excluding federal holidays).
- 1.10 Charges. All subscriptions operate on 30-day intervals unless otherwise stated.
- 1.11 Effective Date. These Terms are effective as of the date above and remain effective until replaced or terminated.
- 1.12 Force Majeure. Neither party shall be liable for any delay or failure to perform its obligations to the extent such delay or failure is caused by events or circumstances beyond its reasonable control, including but not limited to acts of war, terrorism, civil unrest, natural disasters, epidemic or pandemic, governmental action, labor disputes, or failures of third-party infrastructure or internet services.
- 1.13 Hosted Services. Services are made available via the internet, subject to these Terms.
2. Hosted Services
KokoroLab shall provide access to publicly available features, and upon subscription payment, to subscription-based features. We grant you a non-exclusive, non-transferable license to access the Services for your personal use, subject to these Terms. The following do not constitute breach: Force Majeure events, technical faults, your network failures, your device failures, or routine maintenance.
3. Data Protection
KokoroLab will comply with applicable data protection laws. For data collection and handling practices, refer to our Privacy Policy.
4. Payments and Charges
By using the Subscription-Based Services, you agree to pay KokoroLab for the Services provided under this Agreement.
4.1 Charges are based on the stated subscription prices and exclude any applicable value-added taxes, sales taxes, or other governmental fees. Such taxes will be assessed by our authorized payment processor, where applicable. All charges are denominated and billed in U.S. dollars.
4.1.2 Subscription-Based Services are non-refundable unless explicitly authorized by KokoroLab. Your Subscription-Based Service will remain active until the end of the current billing period. If you cancel your subscription, you will not be charged for the next billing cycle, and your access will continue only until the end of your current subscription term.
4.2 Payments
KokoroLab is authorized to issue billing notices and collect subscription fees throughout the Term.
4.2.1 You are responsible for all fees, charges, and applicable taxes associated with your account prior to the subscription end date. If you are enrolled in automatic billing through an authorized payment processor, it is your responsibility to manage or cancel the subscription directly through the processor or through our designated billing interface.
4.2.2 Payments for the subscription must be made through an authorized payment processor. You must also agree to any terms imposed by such processor to complete the transaction. All payments must be successfully received in U.S. dollars for access to continue.
4.2.3 If payment is not received on or before the subscription renewal date, KokoroLab reserves the sole right to suspend or terminate your access to the Services without compensation or liability for any resulting damages or losses.
4.3 Refund Policy
4.3.1 General Policy. All purchases on KokoroLab — including subscription fees, credit packages, and access passes — are final and non-refundable as a general rule. Credits (tokens) are consumed upon use and cannot be restored or refunded once spent. Unused credits remaining in your account at the time of a refund request may be considered only under the exceptional circumstances below.
4.3.2 Exceptional Circumstances. Refund requests are evaluated strictly on a case-by-case basis. Approval is not guaranteed and is granted solely at KokoroLab's discretion. Circumstances that may be considered include:
- (a) Extended Service Outage: A verified, continuous outage exceeding 72 hours attributable solely to KokoroLab infrastructure failure. Credits consumed prior to the outage are excluded.
- (b) Duplicate or Erroneous Billing: A verifiable billing error resulting in multiple charges for the same transaction or billing period.
- (c) Unauthorized Transaction: A charge made without authorization due to account compromise, reported in writing within seven (7) calendar days. Credits consumed through unauthorized access are reviewed individually.
4.3.3 How to Request. Submit a written request to contact@kokorolab.net within seven (7) calendar days of the charge date, including:
- (a) Your account email address and the exact charge date and amount;
- (b) A description of the issue and the applicable exceptional circumstance;
- (c) Supporting documentation (payment receipts, transaction IDs, screenshots).
4.3.4 Processing. Approved refunds are processed within ten (10) business days and issued to the original payment method. KokoroLab is not responsible for delays caused by your financial institution.
4.3.5 Chargebacks. Filing a chargeback without first exhausting our review process constitutes a breach of these Terms and may result in immediate account suspension.
4.3.6 Statutory Rights. This policy does not affect any statutory rights you may have under applicable consumer protection law. Where law mandates a cooling-off period (e.g., 14 days under EU/EEA regulations), KokoroLab will honor those rights. By requesting immediate access to digital content upon purchase, you may waive applicable cooling-off rights to the extent permitted by law.

5. Use of Services
5.1 Subscription-Based Software License. Subject to your compliance with these Terms and the duration of your active subscription, KokoroLab grants you a personal, non-exclusive, non-transferable, account-bound license to access and use the Services: (1) only while your subscription remains valid, and (2) strictly in accordance with these Terms. One account grants you access to the Services on multiple devices, but remains limited to a single authorized user.
5.2 Authorized Users. You must be at least eighteen (18) years old and legally capable of entering into a binding contract in order to use the Services.
5.3 Restrictions. Unless expressly permitted in these Terms, you must not:
- 5.3.1 Host, share, or expose your account on any publicly accessible system or domain;
- 5.3.2 Allow third parties to access or operate your account remotely;
- 5.3.3 Circumvent or attempt to circumvent any technological measures that control access to the Services;
- 5.3.4 Develop, distribute, assist, or use products that bypass, interfere with, or weaken protections or limitations built into the Services;
- 5.3.5 Rent, lease, sell, sublicense, assign, or transfer your account or any rights to the Services.
5.4 Updates. The Services may automatically apply updates, improvements, fixes, or new features from KokoroLab. These updates may include model changes, stability fixes, UI/UX improvements, new generation features, or other modifications. By using the Services, you agree to receive such updates.
5.5 Supported Web Browsers. KokoroLab supports modern versions of Google Chrome, Firefox, Safari, and Microsoft Edge. Browsers not listed here may not be supported.
5.6 Account Security. Access to the Services requires login credentials. You are solely responsible for maintaining the confidentiality and security of your credentials and for all activity that occurs under your account. You must notify KokoroLab promptly at contact@kokorolab.net if you become aware of any unauthorized access or suspected compromise of your account. KokoroLab is not liable for any loss or damage arising from your failure to safeguard your credentials. You agree to indemnify, defend, and hold harmless KokoroLab from any claims, damages, or losses arising from unauthorized access to your account attributable to your failure to protect your login information.
5.7 Disclaimer of Warranties. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. KOKOROLAB EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. KOKOROLAB DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, NOR THAT ANY CONTENT OR OUTPUT GENERATED THROUGH THE SERVICES WILL BE ACCURATE, RELIABLE, OR SUITABLE FOR YOUR PURPOSES. No advice or information, whether oral or written, obtained from KokoroLab or through the Services shall create any warranty not expressly stated herein.
5.8 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KOKOROLAB, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT PERMITTED BY LAW, KOKOROLAB'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO KOKOROLAB IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). You agree to indemnify, defend, and hold harmless KokoroLab and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, judgments, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your Content, or your violation of these Terms.
5.9 Feedback and Suggestions. You may voluntarily submit ideas, suggestions, enhancement requests, or other feedback to KokoroLab ("Feedback"). By submitting Feedback, you grant KokoroLab a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, and incorporate such Feedback into the Services without any obligation to compensate, credit, or notify you. Feedback does not constitute confidential information.
5.10 Promotions. KokoroLab may occasionally offer promotions. Participation is voluntary, and any such events may require you to accept additional terms.
5.11 Storage. You may back up and locally store your Content. We recommend that you regularly export your Content. Upon subscription termination, we will make reasonable efforts to permit Content export within a 45-day period. After 45 days, we may delete stored Content at our discretion.
6. Privacy Policy
Access to and processing of your Content is governed by our Privacy Policy. KokoroLab will only access your Content as needed to operate, maintain, and improve the Services.
7. License Term and Intellectual Property
7.1 Subject to your compliance with these Terms and applicable law, you may access and use the Services licensed from KokoroLab. Your license will expire at the end of your subscription term. The Services available to you upon renewal may be modified or updated and may differ from those previously provided. You agree that your decision to purchase or renew access to the Services is not contingent upon the delivery of any future functionality, features, or improvements.
7.2 Intellectual Property. KokoroLab remains the sole and exclusive owner of all rights, title, and interest in and to the Services. Except as expressly stated in these Terms, we do not grant you any rights to patents, copyrights, trade secrets, trademarks, other users' content, or any other intellectual property associated with the Services or software. All rights not expressly granted under these Terms are reserved by KokoroLab.
7.3 Your license may be terminated prematurely if payment is fraudulent, illegitimate, or obtained through unlawful means.
8. Accounts
You are responsible for all activity conducted through your account, whether or not you authorized such activity or were aware of it. You may not (1) share your account credentials with any other person (except an authorized account administrator, where applicable), or (2) use another user's account. You are responsible for keeping your account active, which includes logging in periodically to maintain access. Failure to sign in for an extended period may lead us to determine the account is inactive, and you agree that KokoroLab may close or suspend such inactive accounts.
9. Prohibited Conduct
The following activities constitute prohibited conduct under these Terms. You agree not to, and will not permit any third party to:
- 9.1.1 Access or use the Services without a valid license or in violation of these Terms or any other agreement with KokoroLab;
- 9.1.2 Copy, modify, decompile, disassemble, reverse-engineer, host, sublicense, or resell any part of the Services or underlying software;
- 9.1.3 Share, disclose, or permit others to use your account credentials to access the Services;
- 9.1.4 Access or attempt to access the Services through unauthorized means, automated queries, or unsupported interfaces not expressly authorized by KokoroLab;
- 9.1.5 Circumvent, disable, or interfere with any security, access control, rate-limiting, or usage restriction mechanisms of the Services;
- 9.1.6 Deploy bots, scrapers, crawlers, automated scripts, or similar tools in a manner not expressly authorized, or in a manner that imposes unreasonable load on the Services' infrastructure;
- 9.1.7 Use AI-generated outputs from the Services as a substitute for advice from licensed professionals, including but not limited to legal, financial, investment, tax, accounting, or medical professionals;
- 9.1.8 Use the Services in connection with any unlawful, deceptive, fraudulent, or regulated activity, including but not limited to illegal gambling, money laundering, or any activity prohibited under applicable law.
KokoroLab reserves the right, in its sole discretion, to investigate suspected violations and to suspend, restrict, or permanently terminate any account found to be engaged in prohibited conduct or in breach of these Terms, without prior notice and without liability.
10. AI Model Training
By default, KokoroLab may use your Content — including uploaded images, prompts, and AI-generated outputs — to train, fine-tune, and evaluate our AI models in order to improve the quality and capability of the Services. You may opt out of AI model training at any time by submitting a written request to contact@kokorolab.net. Following a valid opt-out request, content subsequently associated with your account will not be used for training purposes. An opt-out does not apply retroactively and does not affect the lawfulness of any model training completed prior to receipt of your request.
11. Termination
11.1 Termination by You. You may terminate this agreement at any time by discontinuing your use of the Services. Upon termination by you, your right to access and use the Services will cease immediately.
11.2 Termination by KokoroLab. KokoroLab may suspend or terminate your access to the Services, with or without cause, and with or without prior notice, effective immediately. Grounds for termination may include, but are not limited to, misconduct, violation of these Terms, or actions that pose risk to the platform, other users, or the Services.
11.3 Effect of Termination. Upon termination—whether by you or by KokoroLab—all licenses and rights granted to you under these Terms will cease immediately. Your obligation to pay any outstanding fees will survive termination.
11.4 Content Retention and Deletion. We will make reasonable efforts to retain your Content during an active subscription. After termination, you may export your Content within a 45-day period, after which KokoroLab reserves the right to delete such Content at its discretion. Deleted Content cannot be recovered.
11.5 Survivorship of Provisions. The following sections of the Terms shall survive termination, including but not limited to: ownership, intellectual property, warranty disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.
